These Terms of Service ("Terms") govern your use of the DevOpsAm website (devopsam.com) and any cloud infrastructure consulting, security assessment, cost optimization, monitoring, or managed IT services ("Services") provided by DevOpsAm ("we," "us," or "our"). By accessing our website or engaging our Services, you agree to these Terms.
1. Services Overview
DevOpsAm provides cloud infrastructure consulting services including but not limited to:
- Cloud cost analysis and optimization (AWS, Azure, Google Cloud)
- Security assessments and vulnerability identification
- Infrastructure monitoring and incident response
- Backup and disaster recovery planning and implementation
- Cloud migration and architecture design
- IT automation and DevOps process implementation
- Cyber insurance compliance readiness assessments
The specific scope, deliverables, and timeline for any engagement will be defined in a separate Statement of Work (SOW) or engagement agreement.
2. Free Cloud Audit
We offer a complimentary cloud infrastructure audit ("Free Audit") subject to the following terms:
- The Free Audit is provided at our discretion and may be limited in scope compared to a full paid engagement.
- The audit findings and report are for informational purposes and represent our professional assessment at the time of review.
- We are not obligated to provide implementation services following a Free Audit.
- The Free Audit does not create an ongoing service obligation.
3. Client Responsibilities
When engaging our Services, you agree to:
- Provide accurate and complete information about your infrastructure and requirements
- Grant necessary access to cloud accounts, systems, and documentation as agreed in the SOW, using least-privilege access where possible
- Maintain appropriate backups of your systems and data before and during any engagement
- Promptly revoke any access credentials shared with us upon engagement completion
- Comply with your cloud provider's terms of service and acceptable use policies
- Ensure you have proper authorization to grant us access to the systems in scope
4. Access and Credentials
Infrastructure consulting requires access to sensitive systems. We commit to the following:
- We request only the minimum access necessary for the agreed scope of work
- Read-only access is preferred and used where the scope permits
- All credentials are stored in encrypted vaults and handled by authorized personnel only
- We permanently delete all access credentials within 7 days of engagement completion
- We will never access systems or data outside the agreed engagement scope
- Any changes to production systems require your explicit written approval before execution
5. Confidentiality
We treat all client information as confidential, including but not limited to:
- Infrastructure architecture and configurations
- Security assessment findings and vulnerabilities
- Cost data and spending patterns
- Business processes and proprietary systems
- Access credentials and authentication details
We will not disclose confidential information to third parties except as required by law or with your written consent. This obligation survives termination of any engagement.
We may reference the general nature of our work (e.g., "cloud cost optimization for a law firm") in anonymized case studies or marketing materials, but we will never disclose your company name, specific findings, or identifiable details without your explicit written permission.
6. Intellectual Property
- Your property: All client data, infrastructure configurations, and proprietary information remain your property.
- Deliverables: Audit reports, documentation, and custom scripts created specifically for your engagement are yours upon payment in full.
- Our property: Our methodologies, tools, frameworks, templates, and general knowledge developed independently or across multiple engagements remain our intellectual property.
- Website content: All content on devopsam.com (text, design, code, images) is owned by DevOpsAm and protected by copyright. You may not reproduce, distribute, or create derivative works without permission.
7. Limitation of Liability
Cloud infrastructure is inherently complex, and despite best practices, issues can arise. To the maximum extent permitted by law:
- Our Services are provided "as is" and we make no warranties, express or implied, regarding the completeness or accuracy of audit findings.
- We are not liable for any indirect, incidental, consequential, or punitive damages arising from the use of our Services.
- Our total liability for any claim arising from an engagement shall not exceed the fees paid for that specific engagement.
- We are not responsible for outages, data loss, or security incidents caused by factors outside our control, including actions by your team, third-party providers, or cloud platform issues.
- Recommendations are professional opinions based on industry best practices. Implementation decisions and outcomes are ultimately your responsibility.
8. Indemnification
You agree to indemnify and hold DevOpsAm harmless from any claims, damages, or expenses arising from:
- Your breach of these Terms
- Your misuse of our deliverables or recommendations
- Inaccurate information provided to us during an engagement
- Unauthorized actions taken by your personnel on systems we were engaged to manage
9. Payment Terms
For paid engagements:
- Fees are outlined in the Statement of Work and are due per the agreed schedule
- Monthly retainer services are billed in advance on the 1st of each month
- Project-based engagements require 50% upfront and 50% upon delivery, unless otherwise agreed
- Late payments exceeding 30 days may result in service suspension
- All fees are in US dollars unless otherwise specified
10. Termination
- Either party may terminate an ongoing engagement with 30 days written notice
- We may terminate immediately if you breach these Terms or fail to provide necessary access
- Upon termination, we will deliver any completed work, securely delete your data and credentials, and invoice for services rendered through the termination date
- Confidentiality obligations survive termination indefinitely
11. Dispute Resolution
Any disputes arising from these Terms or our Services shall be resolved through:
- Good faith negotiation between the parties for 30 days
- Mediation through a mutually agreed mediator if negotiation fails
- Binding arbitration under the rules of the American Arbitration Association, conducted in New York, New York, if mediation is unsuccessful
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. For active engagements, material changes will be communicated directly. Continued use of our website or Services after changes constitutes acceptance.
13. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
